DIRECTORS RESIGNATION

The Board of Teather & Greenwood Holdings plc announces the resignation
yesterday of Derek Boothman as a non-executive director.  This follows the
announcement of Derek's intention to retire at the end of our financial year
contained within the circular to shareholders dated 4 February 2003.

The Board would like to thank Derek for his valuable contribution to the
Company, firstly as Chairman of the Company from May 1998 to May 2000, which
period included the flotation of the Company on AIM, and then latterly as senior
non-executive director of the Board.  The Company continues to seek a new
non-executive director to strengthen the Board and an announcement will be made
in due course.
