Director's gifts of shares

Protherics announces that it received notification on 7 January 2004 that M.S.
Brown, a non-executive director of Protherics, instructed gifts of 202,794
ordinary shares of 2p each to be made to members of his family.  The gifts
represent 0.10% of Protherics issued share capital and Mr Brown gave
instructions on 29 December 2003 to make the necessary share transfers.



M.S. Brown remains interested in 2,964,523 ordinary shares of 2p each in
Protherics (representing 1.43% of Protherics issued share capital).  In addition
he holds options over 46,520 ordinary shares of 2p each at an exercise price of
USD3.86 per share, expiring on 30 September 2004, and 104,670 ordinary shares of
2p each at an exercise price of

USD5.15 per share, expiring on 25 April 2006.
