                              DIRECTORSHIP CHANGES


The Paragon Group of Companies PLC is pleased to announce the appointment of 
John Heron, Director of Mortgages, and Pawan Pandya, Chief Operating Officer, to 
the Board as executive directors with immediate effect.

John Heron is responsible for the Group's first mortgages division, Paragon 
Mortgages and Mortgage Trust (formerly Britannic Money), which accounts for #4 
billion of the Group's assets under management. He joined the Group in 1986 and 
is currently the Chairman of the Intermediary Mortgage Lenders Association. He 
is also a member of the Executive Committee of the Council of Mortgage Lenders.

Pawan Pandya joined the Group in 1988 and was appointed as Chief Operating 
Officer in 2002, when he assumed responsibility for all operational and IT areas 
of the Group.

Michael Kelly, a non-executive director since March 1999, and previously an 
executive director, has resigned from the Board with immediate effect, as a 
result of his intention to spend an increased amount of time overseas. The Board 
would like to record their gratitude to Mr Kelly for his significant 
contribution and support to the Group.
