                             Grant of share options


On 25 April 2003, the Company granted options to Directors over 282,093 Ordinary
Shares under the terms of the Unapproved Share Option Scheme. The options are
exercisable at 65p per Ordinary Share between 25 April 2005 and 25 April 2010:

Notes

1.  The options were granted for nominal consideration;

2.  A further 71,378 options were granted at the same time to
    senior employees of the Company at 65p per Ordinary Share;

3.  The Company has 44,188,002 Ordinary Shares in issue;

4.  The Company now has 2,918,479 share options outstanding,
    representing 6.5% of the issued Ordinary Share capital;

5.  In accordance with the terms of the share option schemes,
    the number and exercise price of existing options granted 
    under the Unapproved Scheme and by other arrangement have 
    been adjusted following the Rights Issue that closed on 
    24 March 200;.

6.  The number and exercise price of existing share options
    granted under the Approved Scheme will also be adjusted, 
    but such adjustment is subject to the approval of the 
    Inland Revenue and has not yet been reflected in
    the above interests.
