LEGGMASON INVESTORS ENTERPRISE PLC ("the Company")

Disclosure of interest in shares - substantial shareholder



The Company has today been notified that, following the acquisition of

1,525,000 ordinary shares of 25 pence each in the Company on 30 April

2003 by Merchant Investors Assurance Company Limited ("MIA"),

has increased its aggregate notifiable holding in the Company's issued

share capital to 3,985,280 ordinary shares, representing 14.696% of

Company's current issued share capital.



As a result of the above transaction, there has been an increase in the

disclosable holdings of the subsidiaries of Allianz AG. Allianz AG is

the ultimate holding company of MIA. Accordingly, under section 203(2) of

the Companies Act 1985, the following companies, being subsidiaries of

Allianz AG, are also deemed to be interested in the shares held by

MIA: MI Group Limited, Allianz UK Limited, Allianz Europe Limited,

Allianz Lebensvericherungs AG, Jota Vermogensverwaltungs GmbH

and Allianz AG.
