         Conversion of unsecured loan and Directors interests in shares


Inveresk Group Plc ("Inveresk" or the "Company") announces that following the
release of its preliminary results for the period ended 31 December 2002, Jan
Bernander and Alan Walker have converted #906,173 of unsecured loans made by
them to the Company into 9,061,730 ordinary shares of 1p each.

These new ordinary shares are expected to be admitted to AIM and to commence 
trading at 8.00 a.m. on Wednesday, 14 May 2003.

The total number of ordinary shares in issue following this conversion is 
143,804,750.

Inveresk has been advised today that following this conversion and the
completion of the recent Placing and Open Offer,  Messrs Bernander, Walker and
Green have the following interests in the Company:
