              Surrender of share options ("Options") by Directors

Following surrenders of Options in 2001 and 2003 by the Directors as below;

Ivan Fallon       530,743            -

Wayne Pitout     1,415,314   1,125,000

Avi Azulai       1,415,314   1,125,000

The Directors further surrendered on 21 May 2003 Options over ordinary shares in
iTouch as follows:

Ivan Fallon                     1,592,229

Wayne Pitout                    3,120,944

Avi Azulai                      3,120,944

The Options surrendered had an exercise price of 70 pence per share.

Grant of Share Options.

The Directors were granted Options over ordinary shares in iTouch on 21 May 2003
at an exercise price of 22.75 pence per share:

Ivan Fallon                  500,000

Wayne Pitout                 1,000,000

Avi Azulai                   1,000,000

The Options are exercisable by the tenth anniversary of their date of grant and
become exercisable at the rate of 25% pa subject to the performance condition.
The performance condition is that the share price of an ordinary share in iTouch
shall increase by at least 10% plus the Retail Price Index per annum before the
options can vest .

Following this notification, the total number of shares over which options are
held by the above Directors are as follows:

The above Directors' interests in issued ordinary shares in iTouch and issued
deferred shares in iTouch remain as follows:
