                             Director Shareholding


The Company has been notified today that following the release of the Company's
results for the year ended 31 March 2003, Peter Cox, the Company's Chief
Executive disposed of 10,720,500 ordinary shares at 3.75p, bringing his
shareholding to 23,966,647, representing 12.42 per cent of the Company's issued
share capital.



The Company has also been notified today that James Hay Pension Trustees Limited
("James Hay"), being Peter Cox's pension fund, purchased 10,720,500 ordinary
shares at 3.75p, bringing James Hay's shareholding to 15,245,380 representing
7.90 per cent of the Company's issued share capital.



Peter Cox's total beneficial holding in the Company remains unchanged at
39,212,027 representing 20.32 per cent. of the Company's issued share capital.
