On 21st March 2003 Greggs PLC ("the Company") was notified that on 21st March
2003, the trustees of the Greggs Employee benefit Trust, including Ian Gregg,
Michael Darrington and Malcolm Simpson (directors of the Company), sold 130 
ordinary shares of 20p each in the company (0.001% of the issued shares) to a 
former employee of the Company at #20.98 per share.

After the transfer, the trustees of the Employment Benefit Trust hold 214,437 
ordinary shares in the Company (1.78% of the issued shares)

The total beneficial and non-beneficial holdings of each relevant director
(excluding interests in share options) following this notification are as
follows:-
