RNS Number:0609M Expomedia Group PLC 09 June 2003 Expomedia Group Plc Acquisition of Exhibition Bulletin Expomedia Group Plc announces that Mash Media Group Ltd ("Mash"), a 51% owned subsidiary, has agreed to acquire the publication "Exhibition Bulletin" from Tarsus Group Plc for a cash consideration of #1.1million of which #500,000 will be paid on completion. Tarsus will retain advance revenue of #157,000 and the balance will be paid in stages by 15 January 2005. Mash will acquire the goodwill and certain intellectual property rights related to the following publications: Exhibition Bulletin, Exhibition Bulletin Yearbook, EB100 and the e-bulletin newsletter. Exhibition Bulletin was first published in 1948 and is the definitive United Kingdom publication for the world wide exhibition industry. Mash currently publishes the titles Exhibition News, LUKE, Exhibition Handbook, Exhibiting, Conference News and Conference Handbook. Several of these titles compete with the titles being acquired and it is expected that Exhibition Bulletin will be merged with LUKE and Exhibition Bulletin Yearbook will be merged with Exhibition Handbook. It is anticipated that substantial synergies will be realised from the merger of the publications. In the year ended 31 December 2002 Exhibition Bulletin generated revenues of #781,000 and a profit before tax of #76,000. Commenting on the acquisition Mark Shashoua, Chief Executive of Expomedia Group Plc said: "We are very pleased with the acquisition of such an established title in the exhibition industry. The acquisition of Exhibition Bulletin now completes our Group plan to become the pre-eminent publisher to the exhibition industry and enables us to offer a complete service to our clients. We look forward to incorporating the title into our portfolio and following our recent announcement of the launch of the ExpoSegodnia publication in Moscow, we will also look to expand certain titles into the other markets in which the Group has operations."
