OFFER FOR SUBSCRIPTION OF NEW A SHARES ('THE OFFER')


The Directors of Enterprise VCT have announced an allotment on Thursday 31 July
2003 of 143,366 new A Shares pursuant to the Offer. The Offer Price at which the
new A Shares were issued was 95 pence per new A Share.


Dealings in the new A Shares are expected to commence on Wednesday 6 August 2003
and definitive documents of title are expected to be despatched by Monday 11
August 2003.
