OFFER FOR SUBSCRIPTION OF NEW A SHARES ('THE OFFER')


The Directors of Enterprise VCT have announced an allotment on Friday 20 June
2003 of 208,333 new A Shares pursuant to the Offer. The Offer Price at which the
new A Shares were issued was 91 pence per new A Share.


Dealings in the new A Shares are expected to commence on Tuesday 24 June 2003
and definitive documents of title are expected to be despatched by Friday 27
June 2003.
