OFFER FOR SUBSCRIPTION OF NEW A SHARES ('THE OFFER')



The Directors of Enterprise VCT have announced an allotment on Wednesday 2 April
2003 of 146,669 new A Shares pursuant to the Offer. The Offer Price at which the
new A Shares were issued was 87 pence per new A Share.



Dealings in the new A Shares are expected to commence on Friday 4 April 2003 and
definitive documents of title are expected to be despatched by Wednesday 9 April
2003.



The Directors of Enterprise VCT are pleased to announce that the Offer is now
closed.
