CHANGE IN COMPOSITION OF REMUNERATION COMMITTEE


In their corporate governance report for the year ended 28 February 2003, the
directors of the company stated that they would be reviewing the group's
corporate governance procedures in the light of recent developments.  As a first
step in this process, it has been agreed that Mr Richard Palmer will no longer
be a member of the remuneration committee, nor will Miss Ann Wilson sit on the
committee when Mr Palmer's remuneration is being discussed.  This means that the
remuneration committee now comprises solely the company's two non executive
directors and continues to be chaired by Mr Roger Smith, chairman of the
company.


The process of review of our procedures will continue in the coming months as
future corporate governance requirements for companies of our size become
clearer.
