                     Statement re: possible all-share offer



Further to the announcement by BSOFTB on 12 December 2002, that stated it was
actively seeking suitable acquisitions and continuing discussions with various
interested parties, the board of BSOFTB today announces that it is in
discussions with DCS Group PLC ("DCS") regarding a possible all-share offer for
the entire issued and to be issued share capital of BSOFTB.

These discussions with DCS are at an advanced stage and may or may not lead to
DCS making an offer for BSOFTB.  Any offer for BSOFTB will represent the
estimated net cash in BSOFTB at completion of the all-share offer.

As set out in the announcement made by DCS earlier today, DCS is also proposing
to undertake an equity fundraising.  The net proceeds of this proposed equity
fundraising will be augmented by the cash in BSOFTB.

A further announcement will be made in due course.
