                              STATEMENT REGARDING
                   A POSSIBLE OFFER FOR BSOFTB PLC ("BSOFTB)

Further to the announcement by DCS on 19 November 2002 that it was taking
further steps to strengthen its balance sheet and was planning an equity
fundraising, the board of DCS announces that, as part of its proposed equity
fundraising, DCS is in discussions with the board of BSOFTB to acquire all of
the issued and to be issued share capital of BSOFTB, a cash shell quoted on the
Alternative Investment Market of the London Stock Exchange, by way of a share
for share takeover offer by DCS for BSOFTB.

The discussions with BSOFTB are at an advanced stage and may or may not lead to
DCS making an offer for BSOFTB.  The value of any offer for BSOFTB will
represent the estimated net cash in BSOFTB at completion of the share for share
offer, which will augment the net proceeds of the proposed equity fundraising.

A further announcement about these proposals is expected to be made following
completion of the equity fundraising process.
