                   Appointment of a Non-executive Director


Cox Insurance is pleased to announce the appointment of John MacIntosh as a
non-executive director of the company on 4th December 2003.

John MacIntosh, a Canadian citizen, is managing director of Warburg Pincus
International LLC based in London.

Warburg Pincus Ventures LLP, which owns 23.28% of the Company retain the right
to appoint two non-executive directors to the board of Cox Insurance and John
MacIntosh will be their second director, Howard Newman being the other.  This
appointment restores the Warburg Pincus formal representation to the 1999 level.
