Director Shareholding


The Company was notified yesterday that the following transactions took place on
21 May 2003 in respect of ordinary shares of 10p each in the capital of the
Company:


 1. Mark Tincknell sold 250,000 ordinary shares (representing 1.3 per cent. of
    the issued share capital) at a price of 287.5p. Following this disposal his
    holding stands at 1,354,166 ordinary shares (representing 7.2 per cent. of
    the issued share capital); and


 2. Tony Williams bought 2,000 ordinary shares (representing 0.01 per cent. of
    the issued share capital) at a price of 287.5p. Following this acquisition
    his holding stands at 2,000 ordinary shares.


Mark Tincknell's disposal was undertaken following strong institutional demand
for shares. Mark Tincknell has undertaken not to dispose of any further shares
for at least 12 months from the date of the abovementioned disposal.
