Issue of Redeemable Shares and Intended Redemption Offer



It is intended that an issue of redeemable shares in place of the payment of an
interim dividend for the six months ended 30 September 2003 take place on 15
December 2003.  Redeemable shares are expected to be issued to AWG ordinary
shareholders on the register at 5.00pm on 12 December 2003 (the record date for
the issue) on the basis of 140 redeemable shares for every one AWG ordinary
share.



Each redeemable share has a nominal value of 0.1 penny.  Accordingly, for every
one AWG ordinary share held on the record date, AWG ordinary shareholders will
receive redeemable shares with a total redemption value of 14.0 pence.



AWG intends to offer to redeem all redeemable shares at par (subject to
rounding) during a 42 day redemption period which will commence on 23 December
2003 and close at 5.00 pm on 2 February 2004.  It is expected that the
redemption will take place on 9 February 2004 and cheques for the redemption
proceeds will be despatched and CREST accounts will be credited on 13 February
2004.



It is anticipated that the redeemable shares will be admitted to the Official
List and to trading on the London Stock Exchange from 8.00 am on 15 December
2003 and that redeemable share certificates (bearing a form of redemption on the
reverse) will be despatched, together with a letter containing further details
of the issue and redemption offer, on 17 December 2003.



An announcement giving further details of the issue and intended redemption
offer will be made on 15 December 2003.
