                            Directors' Shareholding


The Board of Advanced Power Components plc announces that options over Ordinary
Shares of 2p in the Company ("Options") were today granted to Directors of the
Company, as follows:

H. F. Edmonds                                                          153,050
P. J. Lancaster                                                        117,000
W. I. McAteer                                                          100,000


The above Options have been granted, for nil consideration, with an exercise
price of 2p per Ordinary Share under the terms of the Company's 2003 Employee
Share Option Scheme. Under the rules of this scheme, the options are exercisable
until 2013 at various times beginning on the date that the Company's 2004
preliminary results are released. The options can only be exercisable if the
Company achieves certain performance criteria, linked to earnings per share.


All Options previously held by Mr Robinson, Mr Edmonds and Mr Lancaster have
been cancelled and Mr McAteer previously held no Options. As a result of this
grant, the total number of options now held by these directors is as set out
above.


In addition, Options were today granted to the Company's non-executive
directors, as follows:

The above Options have been granted, for nil consideration, with an exercise
price of 17p per Ordinary Share, being the mid-market price at the close of
business on 29 September 2003. These Options are exercisable until 2013 at
various times beginning on the date that the Company's 2004 preliminary results
are released. The Options can only be exercisable if the Company achieves
certain performance criteria, linked to earnings per share.


Mr Thorne and Mr Ford hold no other Options, as a result of which the total
number of Options now held by these directors is as set out above.
