(1)	Represents shares withheld by the Issuer to satisfy tax withholding obligations in connection with the vesting of shares of restricted stock previously granted to the reporting person.

(3)	Shares sold pursuant to a predefined Rule 10b5-1 trading plan adopted by the reporting person on November 30, 2020.
