Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers

On February 18, 2020, the Board of Directors (the “Board”) of Tyson Foods, Inc. (the “Company”) increased the number of directors to thirteen and appointed Les R. Baledge as a member of the Board. Mr. Baledge will serve on the Board’s Governance and Nominating Committee. Mr. Baledge previously served as Executive Vice President and General Counsel of the Company from 1999 to 2004. There are no relationships between Mr. Baledge and the Company that would require disclosure pursuant to Item 404(a) of Regulation S-K.
