AIM TRUST PLC

Recommended Merger of 3PC Investment Trust plc ("3PC" or "Company") and The AIM
Trust plc ("AIM Trust").

All the requisite resolutions proposed at the Court Meeting of AIM Trust
shareholders, the Extraordinary General Meeting of AIM Trust, the Extraordinary
General Meeting of 3PC and the Class Meeting of 3PC shareholders to effect the
Merger of 3PC and AIM Trust, by way of the Scheme of Arrangement ('Scheme'),
held today were overwhelmingly passed.

3PC shareholders have also approved the change of name of their company to
Active Capital Trust plc at the Extraordinary General Meeting of the Company
held today.

Subject, inter alia, to approval of the Scheme at the Court hearing scheduled
for 28 July 2003, it is expected that the Effective Date for the Scheme will be
29 July 2003. Dealings in the new Active Capital Trust plc shares are expected
to commence on 29 July 2003. The new Active Capital Trust plc shares will rank
pari passu with those existing shares in issue.

It is expected that the Formula Asset Values and conversion ratios for the
Merger will be announced on or soon after 29 July 2003.

Defined terms in this announcement shall have the same meaning as in the Listing
Particulars and Circulars to shareholders issued by 3PC and AIM Trust on 13 June
2003.
