On October 28, 2010, the companies announced the definitive merger agreement under which Syniverse would be taken private by The Carlyle Group, in a transaction valued at approximately $2.6 billion. Under the terms of the agreement, Syniverse stockholders will receive $31.00 in cash for each share of Syniverse/SVR common stock held, which represents an approximately 30% premium over Syniverse’s October 27, 2010 closing price. The firm believes the transaction may be undervaluing the company.
