Explanation of Responses:
(1)	Granted pursuant to the Sensata Technologies Holding plc First Amended and Restated 2010 Equity Incentive Plan.
(2)	Consists of unvested restricted securities granted to the reporting person on April 1, 2020. The restricted securities include 28,381 restricted securities that will vest over three years at one third per year, beginning on the first anniversary of April 1, 2021 based on the reporting person's continued employment, and 34,688 restricted securities that will vest on April 1, 2023 based on the issuer's satisfaction of certain performance criteria.
