Explanation of Responses:
( 1)	These shares will vest annually at a rate of 33% beginning on February 9, 2017, if the Reporting Person continues to be employed by the issuer or any of its subsidiaries on each annual vesting date.
( 2)	This amendment is being filed to correct an administrative error in the number of shares granted to the Reporting Person reported on a Form 4 dated February 10, 2016. The correct number of shares granted to the Reporting Person was 6,484 and the number of shares beneficially owned by the Reporting Person following the award was 10,839. This error was carried forward in two Forms 4 after the filing of the erroneous Form 4.
