Item 5.02.

Departure of Directors or Certain Officers; Election of Directors; Appointments of Certain Officers; Compensatory Arrangements of Certain Officers

On December 2, 2019, Sally Beauty Holdings, Inc. (the “Company”) accepted the resignation of Joseph C. Magnacca as a director of the Company, effective immediately.  Mr. Magnacca’s decision to resign was not due to any disagreement with the Company on any matter relating to its operations, policies or practices.
