Explanation of Responses:
(1)	Reflects the transfer of 16,540 shares held by the reporting person to the Havner Family Trust
(2)	Includes 95,000 restricted stock units and 528 deferred stock units. Also includes 10,000 vested restricted stock units granted February 19, 2015 with an original vesting date of April 1, 2016. Mr. Havner has postponed receipt of these vested restricted stock units in accordance with the following schedule: 10 equal installments over 10 years starting April 1, 2021 to April 1, 2030.
