Item 8.01	Other Events.

On November 12, 2019, Planet Fitness, Inc. issued a press release announcing the intent of certain of its subsidiaries to complete a recapitalization transaction, which will include the issuance of a new series of securitized notes under their existing securitized financing facility. A copy of the press release is filed herewith as Exhibit 99.1 and is incorporated herein by reference.
