(1)	This transaction involved a gift of 20,000 shares of Park Hotels & Resorts Inc. common stock to the Karin Sadove Revocable Trust UAD September 11, 2008, of which the reporting person's spouse serves as the sole trustee and the reporting person's spouse and children are the beneficiaries.
