EXPLANATORY NOTE
This Registration Statement on Form S-8 is being filed with the Securities and Exchange Commission (the Commission) for the purpose of registering an additional 2,000,000 shares of Ouster, Inc. (the Company) common stock, par value $0.0001 per share (the Common Stock) issuable under the Companys 2022 Employee Stock Purchase Plan (as amended and restated, the 2022 ESPP) for which a registration statement of the Company on Form S-8 (File No. 333-266141) is effective.
Pursuant to General Instruction E of Form S-8, the contents of the above-referenced prior registration statement on Form S-8, File No. 333-266141, previously filed with respect to the 2022 ESPP, are incorporated into this Registration Statement by reference to the extent not modified or superseded hereby or by any subsequently filed document, which is incorporated by reference herein or therein.
