Entry into a Material Definitive Agreement.

 

Ormat Technologies, Inc. (the “Company”) is filing this Current Report on Form 8-K/A as Amendment No. 1 to its Current Report on Form 8-K originally filed with the Securities and Exchange Commission on December 5, 2016 (the “Original 8-K”). The purpose of this Amendment No. 1 is to file as Exhibit 4.1 hereto the note purchase agreement (“Note Purchase Agreement”), dated as of November 29, 2016, by and among ORNI 47 LLC, MUFG Union Bank, N.A., Munich Reinsurance America, Inc. and Munich American Reassurance Company, which was omitted from the Original 8-K. The Company’s disclosures in the Original 8-K otherwise remain unchanged.
