1. The price reported in column 4 is a weighted average price. These shares were sold in multiple transactions at prices ranging from $76.52 to $77.00, inclusive. Ms. Merkatoris undertakes to provide to Nicolet Bankshares, Inc., any security holder of Nicolet Bankshares, Inc., or the staff of the Securities and Exchange Commission upon request, full information regarding the number of shares sold at each price within the range set forth in footnote (1) to this Form 4.

Remarks:

Ms. Merkatoris is intending to sell up to 15,000 shares over a period of time to fund construction of a second home. Ms. Merkatoris has sold a total of 6,000 shares as of the date this report. Ms. Merkatoris anticipates that she will continue to own more than 85,000 shares of Nicolet Bankshares, Inc. common stock following the completion of these sales.
