Explanation of Responses:
(1)	Pursuant to the Company's 2014 Compensation and Stock Plan, on February 4, 2020, the reporting person was granted shares of restricted stock effective February 25, 2020 (the "Award Date"). The stock will vest on the third anniversary of the Award Date, providing the reporting person is employed by the Company.
(2)	The increase in shares is due to periodic purchases by the Plan Trustee pursuant to the Plan.
