Item 5.03

Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year.

On June 6, 2019, pursuant to authority granted to the Board of Directors under Section 1701.70(B)(3) of the Ohio Revised Code, the Board of Directors of M/I Homes, Inc. (the “Company”) amended the Company’s Amended and Restated Articles of Incorporation (the “Articles”) to eliminate all references to the Company’s 9.75% Series A Preferred Shares, par value $.01 per share (the “Series A Preferred Shares”). The Company had previously redeemed and retired all outstanding Series A Preferred Shares. The Company effected the amendment to the Articles on June 6, 2019 by filing a Certificate of Amendment with the Secretary of State of the State of Ohio, a copy of which is attached as Exhibit 3.1 to this Current Report on Form 8-K and incorporated herein by reference.
