(1)	Accrual of dividend equivalents in connection with deferred units held by the Reporting Person pursuant to the Medifast, Inc. Director's Deferred Compensation Plan (Amended and Restated). The dividend equivalents accrued when and as dividends were paid on Medifast common stock.
