( 1)	Grant to reporting person of options to purchase 84,937 shares of common stock under the Issuer's Amended and Restated 2009 Omnibus Incentive Compensation Plan. ( 2)	Each restricted stock unit represents the equivalent of one share of the Issuer's common stock. The units vest 50% each on the second and third anniversary of the grant date.
