Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangement of Certain Officers.

(d) On September 16, 2024, La-Z-Boy Incorporated (the “Company”) filed a Current Report on Form 8-K (the “Original Report”) to disclose that the Board of Directors (the “Board”) of the Company had elected Matthew Baer to the Board, effective January 1, 2025. At the time of the Original Report, the Board had not yet made a determination regarding a committee assignment for Mr. Baer. The Company is filing this amendment to the Original Report to disclose that on December 10, 2024, the Board appointed Mr. Baer to serve on the Nominating and Governance Committee, effective January 1, 2025.
