Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangement of Certain Officers.

(b) On February 24, 2022, Darrell D. Edwards, Senior Vice President and Chief Operating Officer of La-Z-Boy Incorporated (the “Company”), informed the Company of his intent to retire from the Company as of July 2022. Mr. Edwards will serve in his current role through April 30, 2022, the end of the Company’s fiscal year. Following the fiscal year end, Mr. Edwards will serve in an advisory role through his retirement date. A copy of the news release announcing Mr. Edwards’s retirement is attached to this Current Report on Form 8-K as Exhibit 99.1.
