(1)	The price reported in column 4 is a weighted average price. These shares were sold in multiple transactions at prices ranging from $21.75 to $21.7817 per share. The reporting person undertakes to provide, upon request by the SEC staff, the issuer or a security holder of the issuer, full information regarding the number of shares sold at each separate price.
(2)	Reflects a decrease of one share to correct a clerical error initially reported on the reporting person's Form 4 filed December 1, 2014.
(3)	Includes 148,950 shares held by a trust for the benefit of family members of Mr. Martin with respect to which Mr. Martin shares voting and disposition power. Mr. Martin disclaims any beneficial ownership of these shares.
