Item 5.02

Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On May 1, 2024, Mr. Glenn Richter, who is currently the Chief Financial and Business Transformation Officer (“CFO”) of International Flavors & Fragrances Inc. (the “Company”), notified the Company of his plans to retire from his position as CFO as of December 31, 2024. The Company has commenced a search for his successor.

Mr. Richter’s retirement will qualify as a “normal retirement” under the terms and conditions of the Company’s 2021 Stock Award and Incentive Plan and the outstanding incentive awards he holds pursuant thereto.
