Explanation of Responses:
(1)	This transaction involved a gift of securities by Axioma Ventures, LLC ("Ventures") to the reporting person's adult son, who does not share reporting person's household. The reporting person disclaims beneficial ownership of the shares held by his adult son, and this report should not be deemed an admission that the reporting person is the beneficial owner of his adult son's shares for purposes of Section 16 or for any other purpose. The sole member of Ventures is Axioma Holdings, LLC ("Holdings"). The sole manager of Holdings is Axioma Management, LLC ("Management"). Howard Jenkins, Alexander Jenkins (the reporting person's adult son) and Kiran Lingam are managers of Management.
(2)	Shares are held directly by Ventures. The reporting person disclaims beneficial ownership of such shares held by Ventures, except to the extent of his pecuniary interest therein.
