Explanation of Responses:
(1)	This amendment is being filed to correct the amount of reported securities, which was understated due to an administrative oversight. Restricted share units granted under the H&R Block, Inc. 2018 Long Term Incentive Plan. The restrictions lapse in three equal intallments beginning on the first anniversary of the grant date.
