Explanation of Responses:
(1)	Restricted stock units were deferred pursuant to the Harley-Davidson, Inc. Management Deferred Compensation Plan. Each such unit represents a contingent right to receive one share of stock upon Separation from Service in accordance with the Harley-Davidson, Inc. Management Deferred Compensation Plan . One third of the units vest on each of the first three anniversaries of the date of grant. Units are subject to forfeiture until vested.
(2)	This Amended Form 4 is being filed to include the deferred RSU balance. The initial Form 3, filed by the reporting person on February 5, 2019, did not include this balance, nor did subsequent reports. The balance includes additional Share Units credited to the reporting person pursuant to dividend reinvestment.
