Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers

On March 23, 2015, Erroll B. Davis, a member of the Board of Directors (the “Board”) of General Motors Company (the “Company”), gave notice to the Company that he plans to retire from the Board and does not intend to stand for reelection at the Company’s Annual Meeting of Stockholders in 2015. Mr. Davis joined the Board in July 2009.
