Item 5.02.

Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On November 15, 2024, Genesis Energy L.P. (the “Company”) announced that Robert V. Deere, the Company’s Chief Administrative Officer, intends to retire from his position at the Company effective December 31, 2024. Mr. Deere has served as Chief Administrative Officer since April 2023. He previously held the position of Chief Financial Officer from October 2008 until April 2023.
