Explanation of Responses:
(1)	Represents shares of Class A common stock underlying a time-based restricted stock unit award ("RSUs"). The RSUs will vest on a quarterly basis, beginning on June 30, 2021, with an additional 25% of the RSUs vesting on the last day of each calendar quarter thereafter, subject to the reporting person's continuous service as a member of the Board of Directors through each vesting date.
(2)	Pro rata distribution from the Randall Group's Series Fisker, of which Mr. Randall is the Managing Director.
(3)	Pro rata distribution from the Randall Group Fisker Series C, of which Mr. Randall is the Managing Director.
(4)	Pro rata distribution by the Randall Group's Series Fisker to its members, for no consideration.
(5)	Mr. Randall is the Managing Director of the Randall Group's Series Fisker. As Managing Director of the Randall Group's Series Fisker, Mr. Randall has voting and dispositive power with respect to the shares held by the Randall Group's Series Fisker and he may be deemed to beneficially own the shares of common stock held by the Randall Group's Series Fisker.
(6)	Pro rata distribution by the Randall Group Fisker Series C to its members, for no consideration.
