Eaton Vance Tax-Managed Diversified Equity Income Fund Annual Meeting of Shareholders

  
    
  
  
    
      At a meeting held today, the shareholders of Eaton Vance Tax-Managed 
      Diversified Equity Income Fund (NYSE: ETY), a closed-end investment 
      management company, voted to elect Benjamin C. Esty, Thomas E. Faust 
      Jr., Allen R. Freedman and James B. Hawkes as Class I Trustees of the 
      Fund and Heidi L. Steiger as a Class II Trustee of the Fund. The Fund’s 
      current Class I and the remaining Class II Trustees, who serve staggered 
      three-year terms, were not up for election and remain in office.
    
    
      The Fund is managed by Eaton Vance Management, a subsidiary of Eaton 
      Vance Corp., which is listed on the New York Stock Exchange under the 
      symbol EV. Eaton Vance and its affiliates had $153.6 billion in assets 
      under management on June 30, 2007.
