Eaton Vance Tax-Managed Diversified Equity Income Fund Annual Meeting of Shareholders

  
    
  
  
    
      At a meeting held today, the Board of Trustees of Eaton Vance 
      Tax-Managed Diversified Equity Income Fund (NYSE: ETY), a closed-end 
      investment management company, voted to hold the Fund’s 
      Annual Meeting of Shareholders on Friday, August 17, 2007 at 3:30 P.M. 
      EST. The meeting will be held at the principal office of the Fund, The 
      Eaton Vance Building, 255 State Street, Boston, Massachusetts 02109. 
      Proxy materials will be mailed on or about June 27, 2007 to shareholders 
      of record on June 15, 2007. Shareholders will be asked to vote on the 
      election of four Class I Trustees and one Class II Trustee.
    
    
      The Fund is managed by Eaton Vance Management, a subsidiary of Eaton 
      Vance Corp., which is listed on the New York Stock Exchange under the 
      symbol EV. Eaton Vance and its affiliates had $150 billion in assets 
      under management on April 30, 2007.
