Item 1.02 Termination of a Material Definitive Agreement.

On October 20, 2016, Edgewell Personal Care Netherlands B.V. ("Edgewell Netherlands") terminated its commitments under that certain Credit Agreement, dated as of June 12, 2015, as amended (the "Credit Agreement"), among Edgewell Netherlands, Edgewell Personal Care Company, the lenders party thereto and The Bank of Tokyo-Mitsubishi UFJ, Ltd., as Administrative Agent for the lenders and repaid all outstanding loans and other obligations under the Credit Agreement in full, in the amount of approximately €251.3 million.
